These Terms govern the provision of accounting and related professional services by Numeretic to clients in Norway and Pakistan.

Scope of Services

Numeretic provides professional services including:

•  Bookkeeping and reconciliations
  Catch-up and clean-up accounting
  Monthly close and management reporting
•  Payroll preparation
  Sales tax / VAT return preparation and filing
•  Year-end accounting and financial closing support
•  Related advisory services

Services are provided in accordance with applicable laws in Norway and/or Pakistan depending on the client’s jurisdiction.

Agreement Structure

Each client engagement is governed by:

• Signed engagement agreement
• Service specification and pricing terms
• Data Processing Agreement (where applicable)
• These Terms and Conditions

In case of any conflict between these documents, the signed engagement agreement shall prevail.

Regulatory Framework

Services are delivered in accordance with:

For Norway:
•  Norwegian Accounting Act
•  Bookkeeping Act
•  Money Laundering regulations
•  GDPR
•  Applicable tax and payroll regulations

For Pakistan:
•  Income Tax Ordinance
•  Sales Tax Act
•  Companies Act
•  Applicable FBR regulations

Nothing in this Agreement removes the client’s statutory responsibility for compliance, reporting, or tax payment.

Client Responsibilities

The client must:

•  Provide accurate and complete financial information
•  Submit documentation within agreed deadlines
•  Inform Numeretic of business changes affecting reporting
•  Review reports and filings without delay

Numeretic is not responsible for penalties or losses caused by incomplete, delayed, or inaccurate information from the client.

Anti-Money Laundering and Due Diligence

Before starting services, Numeretic may conduct customer due diligence. Clients must provide:

•  Identity and registration documents
•  Ownership details
•  Information about business activities

Numeretic may decline or terminate services if compliance requirements are not met.

Communication and Systems

Communication may take place electronically. The client is responsible for maintaining valid contact details.

If third-party accounting systems are used:

•  The client remains responsible for system agreements and licensing unless otherwise agreed
•  Numeretic is not liable for system downtime or technical failures beyond its control

Personal Data and Confidentiality

Numeretic processes personal data in accordance with:

•  GDPR for Norway / EEA clients
•  Applicable data protection regulations in Pakistan

A separate Data Processing Agreement applies where required.

Both parties agree to maintain confidentiality during and after the engagement.

Fees and Payment

•  Fees are agreed in writing before services begin
•  Payment terms are stated in invoices
•  Late payments may result in suspension of services
•  Additional services outside agreed scope will be billed separately

Numeretic may suspend work in case of material non-payment.

Subcontractors

Numeretic may use qualified subcontractors, including outside Norway or Pakistan where appropriate.

Numeretic remains responsible for service delivery and ensures confidentiality and data protection standards are maintained.

Limitation of Liability

Numeretic is liable only for direct losses resulting from proven breach of contract.

Numeretic is not liable for:

•  Indirect or consequential losses
•  Loss of profits or business interruption
•  Penalties caused by client error
•  Regulatory changes
•  System failures outside its control

Total liability is limited to the fees paid for the relevant service during the previous 12 months.

Complaints and Rectification

Any complaint must be submitted in writing without undue delay.

Numeretic shall be given reasonable opportunity to correct errors before other remedies are claimed.

Force Majeure

Neither party is liable for delays or failure caused by events beyond reasonable control, including natural disasters, government restrictions, strikes, pandemics, or system-wide outages.

Termination

Either party may terminate the engagement in writing according to agreed notice periods.

Upon termination:

•  Outstanding invoices remain payable
•  Completed work will be invoiced
•  Client records will be returned in agreed format

Recruitment Restriction

If the client hires Numeretic staff during or within 12 months after termination, Numeretic may charge a reasonable recruitment compensation fee.

Sanctions and Compliance

Clients confirm that they are not subject to international sanctions applicable in Norway or Pakistan.

Numeretic may suspend services if sanction regulations require it.

Governing Law

For clients in Norway:
The agreement is governed by Norwegian law.

For clients in Pakistan:
The laws of Pakistan govern the agreement.

Disputes shall be resolved in the competent courts of the relevant jurisdiction.
